ZIGMO, LLC SERVICES AGREEMENT (the “Agreement”)
THIS IS A LEGAL CONTRACT BETWEEN YOU AND ZIGMO, LLC (“ZIGMO”). READ THIS AGREEMENT CAREFULLY.
SERVICES TERMS. This Agreement shall set forth the terms and conditions under which Zigmo shall provide you with the services you have agreed to purchase from Zigmo. Zigmo reserves the right to have a third-party or subcontractor perform such services.
- Definitions. “We”, “Us” and “Our” mean Zigmo, LLC, and (“Zigmo”). “You” and “Your” shall refer to You as the purchaser of the service(s) and owner of the consumer electronics to be installed, set-up or serviced.
- Agreement. Your sales receipt and/or scope of work, together with these Terms and Conditions shall constitute the entire Agreement (the “Agreement”) between You and Zigmo.
- General. Zigmo will dispatch a Professional Technician (“Technician”) to provide the service(s) you purchased. The Technician may be a Zigmo employee or an independent contractor performing the work on behalf of Zigmo.
- Scheduling Service. You must schedule your appointment for service over the phone by calling our Customer Support at 1-877-859-4466. A live representative will be able to assist you Monday through Friday 8:30AM – 5:30PM. If you call afterhours, we will promptly return your call the next business day. Appointment times for your actual service are typically scheduled to occur between 8:00AM and 6:00PM Monday through Saturday. Zigmo will provide you a 3-hour arrival window in which the Technician will arrive for the appointment.
- Changes to Appointment Times. Changes initiated by a Customer to a scheduled service must be made by calling 1-877-859-4466 no later than 24 hours before the scheduled appointment time. Cancellations or reschedules less than 24 hours before the scheduled appointment time may be subject to a rescheduling/cancellation fee of $59.99.
- Zigmo’s Responsibilities. Zigmo and/or Zigmo’s authorized Technician will:
- Perform and complete the service(s) in a friendly, professional manner including all services outlined in the scope(s) of work.
- Perform all services in accordance with applicable law.
- Either not start, or will immediately discontinue, the services upon discovery of unforeseen hazardous conditions at the service address.
- Provide all labor necessary to complete any service(s) purchased. We will not ask you to assist with any in-home service or delivery. If You assist with any in-home service or delivery, You will assume the risk and full liability.
- Your Responsibilities. You agree to:
- Have an adult 18-years or older, with the authority to make decisions about the service(s) you purchased, present during the entire appointment.
- Provide a work space for the Technician(s) that is clear of any physical or environmental hazards, unattended minors or pets.
- For TV setup, ensure the location selected for the TV meets the TV manufacturer’s specifications for weight bearing and stability.
- Address/resolve issues, if any, with regard to any easements, covenants, or other legal encumbrances that could affect the services you purchased prior to the Technician performing the work.
- Ensure that all items necessary required for an install including cables, mounts, stands, etc. are available for the Technician upon arrival.
- For TV setup, ensure that a signal source is available to properly test the functionality of the TV.
- For PC related service, ensure availability of broadband internet access to properly test PC/network functionality.
- Allow a Technician to gain remote access and control your system if you purchased a remote service.
- Provide the Technician with a power source and easy access to computers, consumer electronics components and any other peripherals necessary to perform the services. You agree not to assign or transfer this Agreement.
- If the service(s) you have purchased involve a computer, You will ensure that prior to the appointment, A back up IS MADE OF all of the software and data on any computers or storage devices to be serviced. Zigmo, LLC SHALL NOT BE RESPONSIBLE AT ANY TIME FOR ANY LOSS, ALTERATION OR CORRUPTION OF ANY SOFTWARE, DATA, and OR FILES.
- Allow a Technician to serve as Your proxy and accept on Your behalf click-through End User License Agreements that must be accepted as part of a computer software installation process.
- Allow the time necessary for the Technician to provide services needed.
- Cancelling Service. If the Technician arrives at the scheduled appointment time and determines that any or all of the conditions set forth above are not being met, then the Technician may cancel the Appointment or will accomplish as much of the service as reasonably possible. You will be responsible for any further installation or setup of your product on Your own. In such event, you will not be entitled to any refund or credit from Zigmo.
- Inability to Provide Service. Zigmo will not be responsible for delays or failures in performing the services that are caused by acts of nature, acts of any government, failure of transportation, accidents, riots, war, terrorist threat or action, work stoppages or strikes, or, in general, other causes beyond Zigmo’s control.
- Alterations to Property. The details of the service(s) to be provided by the Technician shall be indicated on the associated sales receipt and/or scope of work. Certain services may require drilling holes in walls, securing wiring to baseboards, and similar alterations to Your property. Zigmo shall not be held responsible for any property damage relating to the incidental alterations necessary to provide the services.
- Major Electrical Work. Installations that would require the installation or relocation of electrical outlets or other permanent power sources require the services of a licensed electrician (“Major Electrical Work”) and are outside the scope of service(s) performed by Zigmo Technicians and will not be performed by any Technician dispatched by Zigmo. If the Technician identifies the need for Major Electrical Work to be completed, Your appointment will be deemed to have been cancelled and Zigmo may, at its discretion, charge a cancellation or consultation fee.
- Charges for Additional Services. Installations requiring or involving the following activities are not included in the fee charged for services and, to the extent that they can be performed, will be done at an additional charge. Additional services provided will be subject to these terms and conditions. These activities include but are not limited to:
- Custom built home entertainment centers.
- Drilling through exterior walls.
- Installations above a fireplace.
- Multiple room installations; and rooms larger than 20’x20’
- Additional Charges. Sales tax may apply in certain states that assess such fees on installations or computer related services.
- Confidentiality of Information. You acknowledge and agree that in the course of providing services, the Technician may access files, information and/or other data on Your computer(s) or other product(s). The Technician(s) agrees to use reasonable efforts to keep any and all personal data and information on Your computer(s) confidential; however, You acknowledge and agree that neither Zigmo nor the Technician warrant or otherwise guarantee the confidentiality of any such personal data and information on your computer or other products. Futher, you acknowledge and agree to the disclosure of information where such disclosure is required in order for Zigmo to comply with valid legal processes (e.g. subpoenas, warrants), or when Zigmo believes in good faith that the disclosure is required to prevent harm or injury (e.g.; product recalls, fraud, or other events), or as otherwise required by law.
- Warranties; Limitation of Liability. Subject to these Terms and Conditions, Zigmo’s labor services will be performed in a good and workmanlike manner and warranted for the period of ninety (90) days after their completion for computer related services and for a period of twenty-four (24) months after their completion for Audio /Video services. No warranty is made hereunder for the hardware, software, or consumer electronic products associated with the services. No other warranties express or implied, are made hereunder relating to the services. To the extent permitted by applicable law, the liability of Zigmo and the Zigmo authorized Technician(s) shall be limited to the total purchase price paid for the Zigmo services performed by the Technician(s). IN NO EVENT WILL Zigmo OR THE authorized technician(S) BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR RELIANCE DAMAGES WHICH INCLUDE, BUT ARE NOT LIMITED TO, ANY DELAY IN RENDERING SERVICE, LOSS OF DATA, LOSS OF USE, PUNITIVE DAMAGES, LOSS OF PROFITS, OR COMMERCIAL LOSS.
- Cancellation/Refunds. Services performed for You by the Technician are non-refundable after completion. Should You require assistance from Zigmo to dismount or detach a product that You wish to return to the retailer from which you purchased it, you may be charged a service fee.
- Governing Law. Unless otherwise governed by applicable state law, the Agreement represented by Your sales receipt and/or scope of work, together with these Terms and Conditions shall be interpreted and enforced in accordance with the laws of the State of Virginia.
- Questions or Concerns. Should you have any questions or concerns regarding your service prior to or after the completion of service, including scheduling issues, you should contact Zigmo at 1-877-859-4466.
We reserve the right to disclose your personally identifiable information as required by law and when we believe that disclosure is necessary to protect our rights and/or comply with a judicial proceeding, court order or legal process. It is also possible that Zigmo would sell all or substantially all of its assets and business. In any transaction of this kind, customer information, including your personally identifiable information, may be among the assets that are transferred. If we decide to so transfer your personally identifiable information, you will be notified by email, to the extent that we have your email address.
